Frequently asked questions
That depends on numerous factors: How many people are founding? How high is the liability risk? What are the tax and organizational requirements? I will advise you comprehensively on the best choice for your situation.
The costs are standardized throughout Germany and are the same for all notaries. For a classic GmbH formation with a share capital of €25,000, you can expect notary fees of around €600-800. In addition to individual advice and contract drafting, this also includes the notarization and execution of the deed.
When founding a GmbH, at least €12,500 of the share capital must be paid in before entry in the commercial register. A UG (haftungsbeschränkt) can be founded with a lower share capital.
There are various solutions for this: Sale, conversion, liquidation or transfer to a successor. I will help you to find the best solution for your individual situation.
The association can be founded without a notary. However, notarization of the signatures of the board members under the application is required for entry in the register of associations. This protects against abuse and creates legal certainty.
